Welcome to Kortiva! These Terms of Service ("Terms") govern your access to and use of the mobile applications, websites, and related services (collectively, the "Services") provided by Kortiva, LLC ("Kortiva," "we," "us," or "our").

Our Services include, but are not limited to, the following applications: Domino-Slam, Sitcom Showdown, Center, Minovate, and Math Monkeys.

By accessing, downloading, or using our Services, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.

1. Definitions

  • Account: The user account created to access and use certain features of the Services.
  • Content: Any data, text, graphics, images, music, software, audio, video, works of authorship, or other materials posted, generated, provided, or otherwise made available through the Services.
  • In-App Purchases: Digital products, features, virtual items, or subscriptions offered for purchase within the Services.
  • Kortiva: Refers to Kortiva, LLC, its affiliates, members, employees, and agents.
  • Personal Information: Any information that identifies, relates to, or could reasonably be linked with a particular individual or household, as further defined in our Privacy Policy.
  • Services: All mobile applications (including Domino-Slam, Sitcom Showdown, Center, Minovate, and Math Monkeys), websites, and related services provided by Kortiva.
  • User: Any individual who accesses or uses the Services.

2. User Accounts

2.1. Account Creation: To access certain features and functionalities of the Services, you may be required to create an Account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Promptly update your Account information to keep it accurate, current, and complete.

2.2. Account Security: You are solely responsible for maintaining the confidentiality of your Account credentials (e.g., username, password) and for all activities that occur under your Account. You must notify Kortiva immediately of any unauthorized use of your Account or any other breach of security. Kortiva cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

2.3. Eligibility:

  • You must be at least 13 years of age to create an Account and use the Services.
  • If you are between the ages of 13 and 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed these Terms with you and agreed to them on your behalf.
  • By using the Services, you represent and warrant that you meet all eligibility requirements.

3. License to Use Our Services

3.1. License Grant: Subject to your compliance with these Terms, Kortiva grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

  • Download, install, and use the mobile applications on a device that you own or control.
  • Access and use the websites and related Services solely for your personal, non-commercial use.

3.2. Restrictions: You agree not to, and will not permit others to:

  • (a) Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services or any part thereof.
  • (b) Modify, adapt, translate, or create derivative works based on the Services.
  • (c) Distribute, sell, rent, lease, sublicense, transfer, or otherwise make available the Services or your Account to any third party.
  • (d) Use the Services for any illegal or unauthorized purpose, or in any manner that violates applicable laws or these Terms.
  • (e) Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
  • (f) Use any automated system, including without limitation "robots," "spiders," or "offline readers," to access the Services in a manner that sends more request messages to Kortiva servers than a human can reasonably produce in the same period by using a conventional web browser.

3.3. Device Permissions: Certain features of the Services may require access to your device's native capabilities, such as the camera or push notifications. These permissions are used solely to provide the intended functionality and may be managed through your device's settings.

4. In-App Purchases and Subscriptions

4.1. Purchases: Certain Services may offer In-App Purchases, including virtual items, additional features, or auto-renewing subscriptions. All In-App Purchases are processed through the platform provider (e.g., Apple App Store, Google Play Store) and are subject to their respective terms and conditions.

4.2. Payment: You agree to pay all fees and applicable taxes incurred by you or anyone using an Account registered to you. Kortiva does not process payments directly and does not collect or store your payment card information. Any payment issues or disputes should be directed to the applicable platform provider.

4.3. Refunds: All In-App Purchases are subject to the refund policies of the applicable platform provider (Apple App Store or Google Play Store). Except as required by applicable law or platform policy, all purchases are non-refundable.

5. Intellectual Property Rights

All rights, title, and interest in and to the Services, including all Content, software, code, algorithms, visual interfaces, graphics, design, compilation, information, data, computer code, products, services, trademarks, service marks, trade names, and all associated intellectual property rights, are the exclusive property of Kortiva, LLC and its licensors. Except for the limited license explicitly granted in Section 3.1, nothing in these Terms grants you any right, title, or interest in any intellectual property owned by Kortiva.

6. User Conduct and Content

6.1. Acceptable Use: You agree that you are solely responsible for your conduct while using the Services and for any Content you create, upload, post, send, receive, or store through the Services. You agree not to:

  • (a) Use the Services in any way that violates any applicable local, state, national, or international law or regulation.
  • (b) Engage in any activity that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
  • (c) Upload or transmit viruses, corrupted data, or other harmful, disruptive, or destructive files.
  • (d) Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • (e) Attempt to obtain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services.
  • (f) Use the Services to send unsolicited promotions, spam, or other unauthorized commercial communications.

6.2. User Content License: By submitting Content to the Services, you grant Kortiva a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such Content in connection with the Services and Kortiva's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

6.3. Monitoring: Kortiva reserves the right, but has no obligation, to monitor, review, or edit any Content you submit. We may remove or disable access to any Content for any reason or no reason, including Content that we believe violates these Terms or is otherwise harmful.

7. Termination

7.1. Termination by You: You may terminate these Terms at any time by deleting your Account and discontinuing your use of all Services. If you stop using the Services without deleting your Account, your Account may be terminated by Kortiva due to inactivity.

7.2. Termination by Us: Kortiva may suspend or terminate your access to the Services, in whole or in part, at our sole discretion, at any time and without notice or liability to you, if:

  • You breach these Terms or any other policies we may have in place.
  • For any other business reason or if we cease to offer the Services.

7.3. Effect of Termination: Upon termination, your license to use the Services will immediately cease. All provisions of these Terms which, by their nature, should survive termination shall remain in full force and effect (including, but not limited to, provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution).

8. Disclaimers and Limitation of Liability

8.1. AS-IS Basis: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. KORTIVA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8.2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KORTIVA, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT KORTIVA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kortiva, LLC and its members, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Services.
  • Your Content.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including intellectual property rights.

10. Governing Law and Dispute Resolution

10.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

10.2. Dispute Resolution and Arbitration

  1. Informal Resolution. Before initiating any formal dispute, you agree to first contact Kortiva at support@kortiva.com and attempt to resolve the dispute informally.

  2. Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA).

  3. Class Action Waiver. You agree that any dispute will be resolved on an individual basis only and not as part of any class, collective, or representative action.

  4. Exceptions. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent unauthorized use or misuse of intellectual property.

  5. Jury Trial Waiver. You and Kortiva waive any constitutional or statutory right to a trial by jury.

11. Miscellaneous

11.1. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.2. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kortiva concerning your use of the Services and supersede any prior agreements.

11.3. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Kortiva's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Kortiva may assign or transfer these Terms, at its sole discretion, without restriction.

11.4. No Waiver: Kortiva's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11.5. Force Majeure: Neither Kortiva nor you shall be liable for any failure or delay in performance under these Terms if such failure or delay is due to circumstances beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with reasonable notice, such as by updating the "Last Updated" date at the top of these Terms or by posting a notice on our website or within the Services. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
